Digi Communications N.V. announces the exercise of conditional share options by the executive directors of the Company, for the year 2024, as approved by the Company’s Ordinary General Shareholders’ Meeting from 25 June 2024

(IN BRIEF) On 27 June 2025, the executive directors of Digi Communications N.V.—Mr Serghei Bulgac and Mr Valentin Popoviciu—exercised their 2024 conditional share options, vesting under the Share Option Plan approved at the 25 June 2024 General Shareholders’ Meeting, to receive 80,000 and 60,000 Class B shares respectively; in compliance with Article 19(1) of the Market Abuse Regulation, they notified the Company, the Romanian ASF, and the Dutch AFM, and further details can be found in the “GSM 2024” section of the Company’s website or by contacting investor.relations@digi-communications.ro. 

(“DIGI”), one of the leading European telecommunications companies, listed on the Bucharest Stock Exchange, would like to inform the market that the executive directors of the Company, exercised their right to receive a total number of 140,000 class B shares from the share capital of the Company respectively (80,000 class B shares to Mr. Serghei Bulgac and 60,000 class B shares to Mr. Valentin Popoviciu), for the year 2024, as per the conditional share options granted on the 27th of June 2024, in accordance with the decision of the Company’s Ordinary General Shareholders’ Meeting from 25 June 2024 (the

The conditional share options have been vested in accordance with the provisions of the Company’s Share Option Plan and the 2024 GSM.

In accordance with the provisions of article 19 para. (1) of the Market Abuse Regulation, on the 27th of June 2025, the executive directors, as persons discharging managerial responsibilities within the Company, have notified the Company, the Romanian Financial Supervisory Authority (ASF) and the Autoriteit Financiële Markten (AFM), in connection with the exercise of the share options.
